FTC and DOJ release annual report on merger enforcement for fiscal year 2024

The Federal Trade Commission (FTC) and the Department of Justice’s Antitrust Division have released their 47th Annual Hart-Scott-Rodino (HSR) Report, summarizing merger enforcement activities for fiscal year 2024.

According to the report, companies submitted notifications for 2,031 transactions under the HSR Act during this period. About one-fourth of these deals were valued at over $1 billion. The HSR Premerger Notification Program is designed to alert regulators to transactions that could reduce competition in violation of federal law.

During fiscal year 2024, the FTC and DOJ took a total of 32 merger enforcement actions across sectors such as healthcare, groceries, technology, labor, and manufacturing. Of these actions, the FTC brought 18 cases. Six led to administrative or federal court litigation; in other instances, parties either abandoned or restructured their proposed mergers due to antitrust concerns raised by the agencies.

The annual report includes statistical tables profiling HSR filings and investigations for the year. It also provides appendices with a summary of transactions from the past decade and details on reported transactions by industry group.

The Commission voted unanimously (3-0) to issue the report.
