The Federal Trade Commission (FTC) has finalized a consent order related to Boeing's acquisition of Spirit AeroSystems Holdings, Inc. The order was initially accepted by the FTC on December 2, 2025, pending final approval.
Under the terms of the consent order, Boeing is required to divest significant assets belonging to Spirit. In addition, both Boeing and Spirit must continue supplying aerostructures and related services to other contractors involved in military aircraft programs. The finalized order also includes a modification that clarifies how Boeing should submit compliance reports.
The FTC alleged that the acquisition could allow Boeing to raise costs or reduce access for Airbus regarding inputs needed for its commercial aircraft. The agency also expressed concerns that Boeing might limit access for competing military aircraft companies to Spirit’s products and technologies.
According to the FTC, this action aims to maintain competition in both commercial and military aircraft markets, which are considered important for U.S. travelers and national security.
After a period allowing public comments, the Commission approved the final order with a unanimous vote of 2-0.
